Documents produced by FormationDesk are generated using artificial intelligence technology. While we strive to produce accurate, state-compliant documents, AI-generated content may contain errors, omissions, or inaccuracies. FormationDesk does not warrant that any document is legally sufficient, enforceable, or appropriate for your specific circumstances. You assume full responsibility for reviewing all documents before use.
All payments are processed securely through Stripe. Upon successful payment confirmation, your documents will be generated and delivered to the email address you provided, typically within 60 seconds. FormationDesk is not responsible for delivery failures caused by incorrect email addresses, spam filters, or other factors outside our control.
Because documents are generated and delivered immediately upon payment, all sales are generally final. Refunds may be issued at our sole discretion in cases of documented technical failure or non-delivery. Refund requests must be submitted to [email protected] within 48 hours of purchase. We reserve the right to deny refunds where documents have been accessed, downloaded, or used.
Documents generated for you by FormationDesk are provided for your personal and business use. The FormationDesk brand, platform, and underlying technology remain the exclusive property of FormationDesk LLC / Kirby Legacy Group LLC. You may not resell, sublicense, or distribute our templates or platform without express written permission.
To the maximum extent permitted by law, FormationDesk LLC and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to document errors, filing rejections, business losses, or reliance on AI-generated content. Our total liability to you shall not exceed the amount you paid for the specific service giving rise to the claim.
You agree to indemnify, defend, and hold harmless FormationDesk LLC and its affiliates from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of our services, violation of these terms, or your business activities.
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Clark County, Indiana.
FormationDesk reserves the right to modify these Terms of Service at any time. Continued use of our services after any changes constitutes your acceptance of the revised terms. We will post the updated date at the top of this page.
